Seo investigates the dynamics of firm-level risk surrounding seasoned equity offerings (SEOs) both theoretically and empirically. Empirical findings indicate a rise in beta before SEOs, followed by a gradual decline thereafter. According to real options theory, commitment-to-invest results in a steady decrease in beta after issuance, whereas factors such as instantaneous investment and time-to-build do not show similar effects.
Behavioral theory suggests that systematic mispricing may lead to increased risk before issuance and decreased risk afterwards, while idiosyncratic mispricing does not have the same impact. In the empirical cross-section, variables such as investment levels, runup in the firm’s own stock price, SEO proceeds, and primary issuance—aligned with real options theory—are associated with declines in beta. Sentiment proxies exhibit weaker effects across the entire dataset but gain significance in subsamples after 1996. Notably, SEOs often coincide with periods of low firm- and market-volatility, implying strategic timing in corporate decision-making related to volatility.
